These Terms form a binding agreement between you and Accordance. You must be at least the age of majority in your jurisdiction to use our website or engage our services. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Accordance provides product design, software engineering, and founder advisory services. The specific scope, deliverables, fees, and timing for any engagement are governed by a separate written statement of work or proposal ("SOW") signed by both parties. In the event of a conflict between these Terms and an SOW, the SOW controls for that engagement.

Our website itself is provided for informational purposes only and does not, on its own, create a client relationship.

Fees, payment schedule, and acceptable methods of payment are set out in the applicable SOW. Unless stated otherwise, invoices are due within fifteen (15) days of issue. Past-due amounts may accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by law. Fees are exclusive of taxes, and you are responsible for all applicable sales, use, GST/HST/QST, and similar taxes other than taxes on our net income.

All content on this website — including text, graphics, logos, and the underlying code — is owned by Accordance or its licensors and is protected by U.S., Canadian, and international copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

Ownership of deliverables created under an engagement is governed by the applicable SOW. Accordance retains rights in its pre-existing materials, methodologies, and any general know-how.

Each party will protect the other's confidential information using the same degree of care it uses for its own confidential information of like importance, and in no event less than a reasonable standard. Confidential information does not include information that is publicly available through no fault of the receiving party, independently developed, or rightfully obtained from a third party without restriction.

Except as expressly set out in an SOW, our website and services are provided "as is" and "as available" without warranty of any kind. Accordance disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components.

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or related to these Terms or any engagement.

Each party's aggregate liability arising out of or related to these Terms — other than for breach of confidentiality, indemnification obligations, or amounts owed for services rendered — will not exceed the fees paid or payable under the applicable SOW in the twelve (12) months preceding the event giving rise to liability.

Some jurisdictions do not allow certain limitations on liability; in those jurisdictions, our liability is limited to the smallest extent permitted by law.

You agree to defend, indemnify, and hold harmless Accordance and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your violation of any law, or your infringement of any third-party right.

The following terms govern Accordance's SMS messaging program (the "Program"). By providing your mobile number and opting in, you agree to receive recurring text messages from or on behalf of Accordance under the terms below.

Program description

We send transactional and informational SMS messages related to your engagement with Accordance, including appointment reminders, project and meeting confirmations, status updates on active work, and billing notifications. We do not send marketing or promotional messages through this Program.

Message frequency

Message frequency varies based on your engagement and account activity. You can expect to receive approximately up to 8 messages per month, though the actual number may be higher or lower.

Message & data rates

Message and data rates may apply. Rates are set by your mobile carrier and Accordance is not responsible for any carrier charges associated with messages sent or received. Please consult your mobile plan for details. Mobile carriers are not liable for delayed or undelivered messages.

How to opt in

You may opt in to the Program by providing your mobile number to Accordance through our intake form, an engagement letter, or by replying with the word YES or START to a message from us confirming your enrollment. By opting in, you confirm that you are the subscriber or customary user of the mobile number provided.

How to opt out

You can cancel the SMS service at any time. Reply STOP to any message you receive from us, and you will be unsubscribed from the Program. After replying STOP, you will receive one final confirmation message, after which we will not send any further messages to that number. To rejoin, opt in again as described above.

Carriers & eligibility

The Program is available on most major U.S. and Canadian carriers. Carriers are not liable for delayed or undelivered messages. The Program is not directed at individuals under the age of 18, and you must be the account holder or authorized user of the mobile number you provide.

Privacy

Information collected through the Program is handled in accordance with our Privacy Policy. We will not sell or share your mobile number or SMS opt-in data with third parties for their marketing purposes; mobile information is not shared with third parties or affiliates for marketing or promotional purposes.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except that mandatory consumer-protection laws of your jurisdiction of residence will apply where required. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or related to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

For Canadian residents, nothing in these Terms limits any non-waivable rights you have under applicable consumer-protection legislation, including the Quebec Consumer Protection Act.

We may update these Terms from time to time. The "Effective" date at the top of the page indicates when they were last revised. Material changes affecting active engagements will be communicated directly. Material changes to the SMS Messaging Program (§ 09) will be communicated by SMS or email before taking effect, and continued participation in the Program after the change constitutes acceptance.
